Merchant Terms
These Terms govern the relationship between Inspot SIA, operator of CenuFiltrs, and a merchant whose store supplies product data to the platform. They are published so that a merchant can read them before applying.

Creating an account, browsing the merchant portal or supplying a feed is not acceptance. A person with authority to represent the company confirms acceptance of a named version when submitting the merchant application.
1. Who these Terms bind
The operator of the platform is Inspot SIA, identified in full on the company information page. The merchant is the legal entity named in the merchant application, acting through a person who confirms authority to represent it.
The store is the merchant-controlled online shop that supplies product data. Where these Terms place a duty on the merchant, that duty covers every store the merchant controls on the platform.
- The accepting person confirms authority to bind the named legal entity.
- Merchant and company details must be accurate and kept up to date.
- Account credentials are confidential and must not be shared outside the merchant.
2. What the platform does, and what it does not do
CenuFiltrs is an information database, price-comparison and data-aggregation service. It collects, validates, normalizes and displays store data, orders results, redirects users to the store and may provide paid advertising services.
CenuFiltrs does not sell the goods shown, does not take payment for them and does not conclude the consumer purchase. The consumer contract is concluded on the store's own service.
- The merchant remains the seller and the consumer's counterparty.
- Final price, VAT, delivery, stock, condition, warranty, payment, fulfilment, returns and purchase complaints belong to the merchant.
- Parsing, display, result order, advertising labels, redirects and platform accounts belong to CenuFiltrs.
3. Store data and what it must state
The merchant supplies product data as a feed. A supplied item is listable when it has a title, a usable product address and a numeric price. Supported formats and required fields are described in the merchant help pages.
Supplied prices must be truthful private-consumer prices and are treated as including applicable VAT. CenuFiltrs normalizes supplied values; it does not add VAT and does not independently verify it.
- Delivery cost is not modelled by the platform and may be charged in addition.
- Availability and condition are merchant-supplied facts. CenuFiltrs does not inspect goods and does not independently verify condition.
- The processing timestamp shown next to a price is when CenuFiltrs handled the data, not when the merchant verified it.
- The merchant corrects inaccurate supplied data without undue delay.
- A feed that stops returning an item lets that item fall out of public results under the platform's stale-data rules.
4. Rights in supplied content
The merchant confirms that it may lawfully supply the titles, descriptions, images and addresses it sends, and grants CenuFiltrs a non-exclusive licence to fetch, store, transform for presentation and display that material for the purpose of operating the platform.
The licence lasts as long as needed to run and evidence the service. It does not transfer ownership and does not permit use unrelated to operating the platform.
5. Result order, paid influence and labels
The principal parameters that order public results, and their relative importance, are published separately and apply to every merchant on the same basis.
Payment can influence placement only through the advertising products described in these Terms. Every paid placement is marked Advertisement, distinctly from the organic order.
- Buying advertising does not change how organic results are ordered.
- Differentiated treatment, where it exists, follows the published ranking explanation.
- Concealed paid placement is not offered and may not be requested.
6. Data, privacy and security
Merchant account and contact data are processed as described in the Privacy Policy. The merchant sees data about its own stores, offers, campaigns and billing through the merchant portal.
Feeds must not carry personal data about consumers, and must not carry content that is unlawful or unsafe to display.
- The merchant keeps feed credentials and portal credentials confidential.
- The merchant tells CenuFiltrs without undue delay about a compromised credential.
- CenuFiltrs may act on unlawful or unsafe supplied content, as described below.
7. Prepaid balance and click billing
Advertising is prepaid. The merchant tops up a balance, and valid billable activity consumes it. There is no subscription, no automatic top-up and no forced recurring payment.
A top-up is a payment attempt until the provider confirms it; only a confirmed payment credits the balance.
- The minimum top-up is the value the platform shows at the time of payment. It is a product setting, not a fixed contractual figure.
- While the balance is not positive, the merchant's offers are not shown publicly.
- The merchant can stop spending by not topping up, and can hide a store manually while a positive balance remains.
- Campaign budgets, pacing and eligibility rules decide when a campaign is served.
8. Corrections, restrictions and complaints
CenuFiltrs may hide, restrict or stop displaying supplied content that breaks these Terms, that is unlawful or unsafe, or that cannot be processed reliably. Where the platform restricts a merchant's content or account, it records the reason and sends it to the merchant.
Urgent action may be taken first where display would cause harm; the reason follows.
- The merchant may contest a decision through the internal complaint route for six months from the decision. A person reviews every complaint, and the merchant receives a reasoned answer.
- Where a complaint shows the decision was wrong, the restriction is lifted by a new decision. Whether the listing then appears publicly also depends on the balance, the store's search visibility setting and the freshness of its data.
- Complaints about the platform itself — inaccurate display, result order, labels, redirects, accounts or billing — go to CenuFiltrs.
- Complaints about a purchase — price at checkout, delivery, returns, warranty — go to the merchant as the seller.
9. Versions and changes
These Terms are versioned and carry an effective date. Editorial corrections that do not change meaning keep the version and are recorded in the change log.
A material change receives a new version and effective date. Affected merchant actions are blocked until the new version is accepted after notice. Acceptance of an earlier version never implies acceptance of a later one.
- Silence, continued use and pre-ticked controls are not acceptance.

10. Ending the relationship
A merchant may stop using the advertising service at any time by not topping up and by hiding its stores. That stops new exposure but does not by itself settle or end the commercial relationship.
Closing a merchant relationship is handled through the published contact route so that balance, pending payments, campaigns, feeds and store ownership are settled in order. Instant self-service erasure of a merchant relationship is not offered.
- Records that must be kept for accounting, tax, dispute or security reasons are retained for the periods stated in the Privacy Policy.
- Merchant contact data is erased or anonymized once it is no longer required for those purposes.
